Referral Program Terms

Terms

1. By participating in the Stord Referral Program (“Stord Referral Program” or “Program”), you are eligible for a reward of up to: (i) $250 per Qualified Lead, payable via check, ACH, cash, or gift card at Stord's discretion; (ii) $3,000 USD per $1,000,000 USD of projected year 1 logistics revenue (excluding software and spot freight revenue), payable via check or ACH; and/or (if applicable) (iii) $500 USD per $10,000 USD of projected year 1 software revenue (excluding all other revenue besides software), payable via check or ACH, if your referral becomes a customer within 12 months of your Referral, subject to all terms and conditions herein. Stord (“Stord”, or “we”) offers you (“you” “Referrer” or “User”) the opportunity to receive a reward by referring prospects to Stord.

2.Stord reserves the right to terminate, suspend, or modify this Program at any time in its sole discretion, with or without notice. In the event of termination, Stord will honor Rewards for Qualified Leads and Referred Customers that have already met all eligibility requirements prior to the effective date of termination.

3. By participating in the Program, you agree to be bound by these terms (“Terms”) as outlined herein. Stord may modify these Terms at any time by posting updated Terms on the Program website or by providing notice to registered Referrers, and your continued participation after such modifications constitutes acceptance of the modified Terms. If you do not agree to these Terms in their entirety, then you cannot register and participate in the Program. Referrers represent and warrant that their participation in the Program complies with all applicable laws and regulations, including but not limited to anti-bribery, anti-corruption, and commercial bribery laws. Referrers cannot participate where doing so would violate any applicable law or regulation.

Eligibility 

1. This Program is void where such referral programs are prohibited. Users who refer others to the program are ("Referrers"); those who are referred are ("Referred Prospects").

2. Referrers may be eligible to receive the Reward (defined below) via cash or gift card (at Stord's sole discretion) for every Qualified Lead, and via check or ACH if that Qualified Lead results in a signed customer with Stord. Referrers must speak and read English, be legally able to participate in the Program, and must be at least the age of majority where they reside.

3. Stord will determine if a Referred Prospect meets the qualifications for the Referrer to receive the Reward in its sole discretion. A Referred Prospect is valid based on criteria that includes, but is not limited to, the following: (i) they are employed by a legitimate business with a live website that is registered to do business in a U.S. state, the United Kingdom, or the European Union; (ii) their company has a logistics need (e.g., an e-commerce business that is fulfilling online orders, a retail company shipping B2B orders, etc.) that (a) ships at least 3,000 orders per month, or (b) has $1,000,000 in annual logistical spend, or has a software need; (iii) they know the person that made the referral; (iv) they operate in any of the following verticals: health and wellness, beauty, apparel or footwear, food and beverage, or small item home goods; and (v) their company does not have and has not had an active opportunity in progress with Stord.

4. If a Referred Prospect takes a video or in-person meeting with Stord within 30 days of your submission of the Referred Prospect on Stord’s website, and meets all other eligibility requirements set forth herein, the Referred Prospect shall become a “Qualified Lead” and you will be eligible to receive $250 USD via cash or gift card at Stord's sole discretion, subject to the Qualified Lead Exclusions. A Referred Prospect is not eligible to be a Qualified Lead if the Referred Prospect: (i) was already submitted by a Referrer; (ii) is a current customer of Stord, or (iii) has already been in contact with Stord in the last twelve months from the date of the submission (collectively, the “Qualified Lead Exclusions”).

5. If a Referred Prospect signs a contract with Stord to become a customer within 12 months of your Referral (“Referred Customer”), then the Referrer will be rewarded: i) $3,000 USD per $1,000,000 USD of projected year 1 logistics revenue (excluding software and spot freight revenue); and/or (if applicable) (ii) $500 USD per $10,000 USD of projected year 1 software revenue (excluding all other revenue besides software)(these amounts along with any amount paid pursuant to Qualified Lead are collectively the “Reward”) when the Referred Customer is Closed (“Closed” is defined as Stord’s first receipt of payment from the Referred Customer). Stord will determine the projected year 1 revenue in its sole and absolute discretion based on the customer contract and Stord's reasonable business projections, and such determination shall be final and binding. The Reward is capped at a maximum payment of $50,000 USD per Referred Customer (the “Cap”). The Referrer must submit tax information upon the Referred Customer signing with Stord in order to receive the Reward. Rewards paid to Stord employees will be categorized as income and be subject to applicable state and federal tax regulations and applicable withholdings. Stord is not responsible for taxes on Rewards, and any taxes related to such Rewards are the sole responsibility of the Referrer.

6. Stord employees on a variable compensation plan are not eligible.

7. Stord partners on an existing partner or referral agreement are not eligible.

8. The Referrer may not refer themselves as the Referred Prospect.

How it Works

1. The Referrer first fills out the form at https://www.stord.com/getstord/stord-referral or https://www.stord.com/getstord/referral and agrees to the Terms for the Program. The referral will be vetted by the Stord team to determine eligibility at Stord’s sole discretion.

2. If the referral is later confirmed as a Qualified lead or a Referred Customer, the Referrer must submit tax information to receive a Reward.

3. The Referrer will be sent a Reward within 60 days of when the Referred Prospect becomes a Qualified Lead or a Referred Customer and is Closed. For Qualified Leads, payment will be made via cash or gift card at Stord's sole discretion. For Referred Customers, payment will be made via check or ACH to your designated address.

Participation in the Program or submitting a Referred Prospect does not guarantee a Reward. All Stord decisions are final and binding, except where prohibited, including decisions as to whether a Referred Prospect, or Reward is valid, when and if to terminate the Program, and whether, if at all, to change the Program. Any changes to the Program will be sent via email to registered Referrers or posted on the https://www.stord.com/getstord/stord-referral or https://www.stord.com/getstord/referral and, except where prohibited, will become effective as of the date the email is sent, or posted to the landing page, whichever is earlier. If a Referrer has referrals pending qualification at the time that updates are sent, those pending referrals shall be validated and Rewards given under the terms that were valid at the time the Referred Prospect became a Referred Customer and Closed (if at all).

Use of Rewards

Prior to Rewards being awarded by Stord, they may not be traded, transferred, or assigned. Prior to Rewards being awarded by Stord, Rewards are not transferable, salable, or auctionable.

Liability Release

Except where prohibited, Users agree that by participating in the Program, they agree: (1) to be bound by these Terms the decisions of Stord, Inc. ("Stord Entities") and/or their designees, and privacy policies (see below); (2) to release and hold harmless Stord Entities and their respective parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the "Released Parties"), from any and all claims, demands, damages, losses, liabilities, taxes, costs or expenses caused by, arising out of, in connection with, or related to their participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Reward); and (3) to be contacted by Stord Entities via e-mail.

Except where prohibited by law, the Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete unreadable, inaccurate, unintelligible entries, communications regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind resulting from acceptance, possession or use of a Reward, or from participation in the Program; or (v) any printing, typographical, administrative or technological errors in any websites or materials associated with the Program. Stord Entities disclaim any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Program, and reserve the right, in their sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond Stord Entities control, corrupt the administration, security or proper play of the Program.

Except where prohibited by law, the Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete unreadable, inaccurate, unintelligible entries, communications regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind resulting from acceptance, possession or use of a Reward, or from participation in the Program; or (v) any printing, typographical, administrative or technological errors in any websites or materials associated with the Program. Stord Entities disclaim any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Program, and reserve the right, in their sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond Stord Entities control, corrupt the administration, security or proper play of the Program.

Except where prohibited, the Released Parties shall not be liable to any Users for failure to supply any Reward or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the Released Parties' control.

As a condition of entering the Program, and unless prohibited by law, Users agree that to the extent permitted by applicable law, under no circumstances will Users be entitled to any awards for any losses or damages, and Users hereby waive all rights to claim punitive, incidental, consequential and any other damages, and waive any and all rights to have damages multiplied or otherwise increased, except where such waivers are prohibited by law. Certain waivers of rights may not apply to you in your jurisdiction of residence. Additional rights may be available to you under applicable law.

Stord Entities reserves the right to cancel or suspend this Program should it determine, in its sole discretion, that the administration, security or fairness of this Program has been compromised in any way.

Applicable Law

Except where prohibited, disputes, claims and causes of action arising out of or related to this Program or any Reward awarded shall be resolved under the laws of the United States and the State of Georgia (without reference to its conflicts of laws principles), and Users agree to submit any dispute to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia.

Referrer's Code of Conduct

Referrers agree that they will not violate any of these Terms, or otherwise engage in activity that could be considered harassment toward other users. Users agree not to use the Program to:

• Violate the intellectual property rights of Stord

• Spam or harass other users or potential Stord prospects

• Collect or attempting to collect personal data about users or potential Referred Customers

• Engage in any actions that are designed to disrupt or undermine the Program

• Make attempts to gain unauthorized access to the software or the Program for any reason

• Transmit files that contain bots, viruses, works, Trojan horses, or any other file that could contaminate or otherwise destroy Stord intellectual property or stop the function of the Stord services

• Engage in illegal or unsportsmanlike activities

• Engage in behavior designed to annoy or harass others

• Engage in actions that disparage or malign or call into question the reputation of Stord, in Stord’s sole discretion

Inappropriate Behavior

Stord may prohibit anyone from participating in the Program if it determines such Referrer is attempting to undermine the fairness, integrity, or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten, or harass any other Stord prospects, customers (whether or not enrolled in the Program), or representatives of Stord. Use of any automated system to participate is strictly prohibited, and if discovered, and will result in disqualification. Stord reserves the right to disqualify anyone, and contact legal authorities (including law enforcement), if it should discover a Referrer is tampering with the entry or referral process or the operation of the Program or violating these Terms. Referrals generated by a script, macro or other automated means will be disqualified. If a solution cannot be found to restore the integrity of the Program, we reserve the right to cancel, change, or suspend the Program.

Privacy

Participation in the Program may require a User, Referred Customer and/or a Referrer to submit personal information about themselves. The personal information will be collected, processed and used in accordance with Stord's Privacy Policy which can be found at https://www.stord.com/legal/privacy-policy. In addition, personal information may be used by Stord, to contact Users with regard to participation in the Program and to facilitate communications from Stord or third party administrators of the Program.

Reservations of Rights

Stord reserves the right to modify or amend at any time these Terms and the methods through which Rewards are earned. Stord reserves the right to disqualify any User at any time from participation in the Program if he/she does not comply with any of these Terms. Stord Entities' failure to enforce any term of these Terms shall not constitute a waiver of that provision.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE PROGRAM. SHOULD SUCH AN ATTEMPT BE MADE, PROGRAM ENTITIES RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
THE CONTENT, INFORMATION, LINKS AND FUNCTIONALITY OF THIS WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL COMPONENTS.
